1. About These Terms
These Terms of Service govern your use of services provided by iTech Help ABN (Australia) and your access to our website at itechelp.com.au. By engaging our services or using our website, you agree to these terms.
2. Services
iTech Help provides managed IT support, cybersecurity, Microsoft 365 administration, help desk support, network management, data backup, IT consulting, and website design services to businesses in Sydney, NSW, and surrounding areas.
The specific services, scope, and pricing for each client are defined in a separate Service Agreement or Statement of Work. In the event of any conflict, the Service Agreement takes precedence over these Terms.
3. Payment
Managed service fees are invoiced monthly in advance. Project-based work is invoiced as agreed in the relevant Statement of Work. Invoices are due within 14 days of issue unless otherwise stated.
Late payments may incur interest at 1.5% per month on outstanding balances. iTech Help reserves the right to suspend services on accounts more than 30 days overdue.
4. Contract Terms and Cancellation
We offer month-to-month, 12-month, and 36-month agreements. Month-to-month agreements require 30 days written notice to cancel. Fixed-term agreements require notice prior to the end of the agreement period as specified in your Service Agreement.
Early termination of a fixed-term agreement may incur fees equal to the remaining monthly charges under the agreement.
5. Client Responsibilities
You agree to provide iTech Help with reasonable access to your systems, personnel, and information necessary to deliver the services. You are responsible for maintaining adequate backups of data not explicitly covered under your service agreement.
6. Limitation of Liability
To the extent permitted by law, iTech Help's total liability for any claim arising from the provision of services is limited to the fees paid by you in the three months preceding the claim. iTech Help is not liable for indirect, incidental, or consequential damages including loss of data, loss of profit, or business interruption.
Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
7. Intellectual Property
Upon full payment, clients own the deliverables produced specifically for them (e.g. website design files, custom scripts). iTech Help retains ownership of pre-existing tools, templates, and methodologies used in delivering services.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the service relationship and not to disclose it to third parties without prior written consent, except as required by law.
9. Privacy
We handle personal information in accordance with the Australian Privacy Act 1988 and the Australian Privacy Principles. For details, please contact us at help@itechelp.com.au.
10. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of NSW.
11. Changes to These Terms
We may update these Terms from time to time. We will notify existing clients of material changes. Continued use of our services after changes take effect constitutes acceptance of the revised terms.
